Terms of Service

1. Acceptance
By creating an account, signing an order form, or using any MPG Smart service, you agree to these Terms. If you're using the service on behalf of an organization, you represent that you have authority to bind that organization.
2. The service
MPG Smart is a software-as-a-service platform that helps trucking fleets reduce fuel cost through driver-behavior incentives. Core features include:
- Telematics integration (Samsara, Motive) for miles, fuel, and idle tracking.
- Per-truck baseline and target MPG management.
- Driver bonus calculations and the driver-facing PWA.
- Monthly invoicing of platform fees and subscription fees.
- Channel partner referral and commission program.
3. Accounts
You're responsible for activity under your account. Keep your password secret. Tell us immediately at security@mpgsave.com if you suspect unauthorized access. We may suspend access for suspicious activity, repeated billing failures, or violations of these Terms.
4. Acceptable use
You agree not to:
- Use the service to commit unlawful acts or send unsolicited messages.
- Attempt to break, probe, or stress-test the platform without prior written consent.
- Reverse-engineer, decompile, or scrape the platform.
- Use the platform to send phishing, spam, or messages drivers haven't consented to receive.
- Resell or sublicense the platform without our written consent.
5. Pricing and fees
Fees are set out in your order form, settings page, or the public pricing page in effect at sign-up. The MPG Smart platform fee is a percentage of fuel savings (configured per organization). For trucks that have saturated their MPG ceiling, we may switch them to a flat monthly subscription with your consent. Invoices are auto-drafted on the 1st of each month for the prior period and become due 14 days after issuance.
6. Channel partners
Approved channel partners earn commission per the terms of their individual partner agreement. The public partner program page describes ranges; specific terms are negotiated per partner. MPG Smart reserves the right to revise commission terms with 30 days notice; existing earned commission is not affected.
7. Data and privacy
How we handle your data is described in our Privacy Policy. Of particular note: we do not sell, rent, or trade your data, including phone numbers, with anyone, ever.
8. Termination
You may terminate at any time by emailing billing@mpgsave.com. Termination takes effect at the end of the current billing month. We may terminate for breach of these Terms with 14 days notice (immediate for material breach). On termination, you keep access to historical invoices and exported data.
9. Warranties and disclaimer
The service is provided "as is". We don't warrant that fuel savings will reach any specific number. Driver behavior, weather, freight, fuel prices, and many other variables affect MPG. We use commercially reasonable efforts to keep the platform available and accurate but make no uptime SLA outside of separately-signed agreements.
10. Limitation of liability
To the maximum extent permitted by law, our aggregate liability under these Terms is capped at the fees you paid us in the 12 months preceding the claim. We're not liable for lost profits, indirect damages, or consequential damages.
11. Indemnification
You'll indemnify us against claims arising from your use of the platform in violation of these Terms or applicable law.
12. Governing law
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws principles. Disputes go to courts in Harris County, Texas.
13. Changes
We may update these Terms. Material changes get 30 days notice via email or in-app banner. Continued use after the effective date counts as acceptance.
